Entoro Fund Services ("EFS") is a full-service fund management platform that combines strategy, marketing, and ongoing compliance into a single solution.

EFS merges the entire Entoro ecosystem of financial services to provide funds the assurance of a regulated and well-oiled machine that is uniquely positioned to alleviate the burden of fund management, administration, and compliance. The EFS platform amalgamates the Entoro universe allowing for a seamless pivot from function to function to facilitate and provide a full range of services across the fund’s entire lifecycle.

EFS is a specially designed fund management platform that provides a partial or full-service solution to set up and operate private funds. EFS manages the process and partners with vetted third parties to offer a complete workflow from start to finish.
EFS is designed for two kinds of fund managers:
1. New Fund Managers (<=$100MM AUM) in need of a one-stop solution for launching a new fund and handling compliance/regulatory requirements.
2. Experienced Fund Managers (> $100MM AUM) that lack the bandwidth and/or ability to manage an existing fund and want to spend more time focusing on generating alpha for stakeholders.

In comparison to other fund services providers, Entoro also offers RIA and B/D services.
Ordinarily, fund managers set up and register their own Registered Investment Advisor (RIA) for their fund. With EFS, managers can outsource RIA functions to Entoro Advisors and let us do the heavy lifting of compliance. As an investment bank and SEC-registered broker-dealer (B/D), Entoro can also assist with functions related to capital formations to ensure that capital is raised in a way compliant with SEC rules and regulations.
First, the client will need to fill out our new inquiry form. The client should expect to provide as much information as possible to expedite the review process. EFS then reviews and conducts due diligence on both the project and fund managers. Once terms are finalized, the client can expect to execute a master agreement with Entoro. Clients will have an EFS representative to assist them through each step of the process.
Structuring - The fund's General Partners ("GPs") engage with Entoro Advisors as Fund Manager and Entoro Advisors interfaces with key service providers (legal counsel, custodian, fund admin, and broker). Counsel works with Entoro Advisors and other GPs to complete a fund formation questionnaire and draft initial agreements and offering memorandum.
Preparation - Once the documents have been executed, Entoro completes onboarding with key service providers and finishes setting up bank accounts for the fund. Entoro creates an OfferBoard® listing for the fund as well.
Launch - After the onboarding process is complete and the bank accounts are open, the fund officially launches and can accept seed capital. See our brochure for a sample fund formation timeline.
Initial fund launch preparation time will take no less than 4 weeks, assuming a very motivated management team and engagement with third party service providers (i.e., legal counsel). 4-6 weeks is generally an appropriate estimate. The initial capital raise round could happen anywhere from day 1 to 3 months after launch.
Entoro engages with clients as a general partner of the fund to ensure fund managers that there is an alignment of interest, while allowing them the benefit of Entoro's services without paying any upfront fees.
Retainer fees for Entoro's services are not incurred until the fund breaks escrow.
